25 September 2025: Nine Entertainment Co. Limited (ASX: NEC) today announces that Catherine West has advised the Board of her intention to retire as Chair and as a Non-Executive Director at the conclusion of the Company’s 2025 Annual General Meeting.

Nine Independent Non-Executive Director Peter Tonagh will assume the role of Chair following the Nine Annual General Meeting on 7 November 2025.

Having served on the Nine Board since 2016, Ms West determined that now is the right time for an orderly succession of the role of Nine Chair.

Nine Chair Catherine West said “It has been a privilege to be part of the leadership of this iconic Australian company for almost 10 years, most recently as Chair and Deputy Chair. Nine is part of Australia’s fabric and plays a critical role in preserving our democracy, nurturing our culture and shaping our national identity.

“I am proud to have successfully led the company through a transformational period. In FY25, Nine emerged stronger from the acceleration of our Company-wide strategic and cultural transformation and by harnessing the power of the Nine Group. Nine has a refreshed executive team, a reset operating model and, through the Nine2028 strategy, has positioned the company for growth and the creation of shareholder value. The divestment of Domain crystallised significant value for shareholders and with a strengthened balance sheet Nine can focus capital and energy on media assets where it has clear ompetitive advantages.

“I thank my colleagues on the Board for their sound counsel and support. I also wanted to thank and acknowledge our CEO Matt Stanton and recognise his energy, strategic leadership and vision. Finally, a thank you to everyone at Nine for their commitment, professionalism, focus on trusted journalism and creativity which combine to make Nine the exceptional company it is. Nine has entered FY26 in an enviable position and based on Peter’s extensive experience, he is ideally placed to continue the momentum.”

Peter Tonagh said “It’s an honour to be appointed Chair-elect of the Nine Board – a great Australian company with a rich heritage and an exciting future. On behalf of the Board, I thank Catherine for her leadership, guidance, and commitment to Nine, which have been instrumental in positioning the Company for sustainable success. I will be working closely with the Board and management to drive value for all shareholders over the long term.”

Mr Tonagh, who joined the Nine Board as an independent Non-Executive Director in January 2025, has extensive leadership experience across the media, technology and analytics sectors from board and senior executive appointments over three decades at the highest level of Australian business.

His career includes senior appointments at Boston Consulting Group, and Foxtel, where he served as CFO and later CEO. He was also CEO of News Corp Australia and interim CEO of REA Group Limited and Deputy Chair of the ABC. Mr Tonagh is currently Chair of Quantium, GTN Limited and not-for-profit organisation Bus Stop Films.
